Terms and Conditions

Effective as of September 1, 2024

1. Introduction

By accessing or using TurnKey AI's software and services (“Services”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree with any part of these Terms, you must discontinue using our Services.

2. Definitions

"Services" refers to the software, updates, AI token usage, and other tools provided by TurnKey AI.

"Subscription Plans" refer to the paid tiers of services provided, including Rising Star ($97/month) and All Inclusive ($387/month), as well as any custom plans for unique users.

"Third-Party Vendors" refers to OpenAI, Twilio, Google Workspace, High Level, WordPress, and Stripe, among others.

3. Subscription Plans, Billing, and Payments

Users may subscribe to various plans, including monthly and customized pricing.

Free trials are available through promotional offers, with specifics defined per promotion.

Upgrades, downgrades, and cancellations can be made by contacting an account manager or through the account settings within the app.

Billing for Usage: Users are billed per token usage, and prices may vary by use case and subscription type. Token pricing is detailed in the "Billing" section under account settings.

Taxes: Fees are exclusive of taxes, which will be charged as required by applicable law​(OpenAI).

4. Automatic Renewals and Termination

Automatic Renewals: Subscriptions are on a month-to-month basis and automatically renew unless canceled by the user. Users must cancel at least 30 days before the next billing period to avoid charges​(OpenAI).

Cancellation: Users may cancel subscriptions at any time. Upon cancellation, all user data will be immediately deleted, and TurnKey AI is not responsible for lost data.

Data Retention: Users must download all desired account data before cancellation. No data will be retained after account termination, unless legally required​(OpenAI)​(OpenAI).

5. Service-Level Agreement (SLA)

TurnKey AI does not provide specific uptime guarantees. However, we strive for consistent and reliable service performance. Third-party services (e.g., OpenAI, Twilio, Google Workspace) may not always be available or error-free, and TurnKey AI cannot be held responsible for their availability​(OpenAI).

Customer Support: Live support is available Monday through Friday from 7 AM to 11 AM CST, with live chat support available via AI 24/7.

6. Use of Third-Party Vendors

Third-Party Vendors: TurnKey AI integrates with third-party services, including OpenAI (for AI token usage), Twilio (for SMS and phone communication), Google Workspace (for email, web hosting, and storage), High Level and WordPress (for website hosting), and Stripe (for payment processing).

User Interaction with Vendors: Users may interact directly with these third-party services during the use of TurnKey AI's platform. These services follow their own respective Terms and Privacy Policies, and users are encouraged to review them​(OpenAI)​(OpenAI).

Compliance: Users must comply with the acceptable use policies of these third-party vendors. This includes prohibitions on using the services for high-risk domains (e.g., medical, financial, or legal advice), generating disinformation, or engaging in any harmful activities​(OpenAI).

7. Data Ownership and Privacy

User Data Ownership: Users retain ownership of the data they input into the platform. TurnKey AI does not share this data with third parties, except as necessary to provide the services (e.g., third-party integrations).

Data Retention Policy: User data is only stored for active accounts. All data is permanently deleted upon account termination, unless legally required​(OpenAI).

8. License and Use Restrictions

TurnKey AI grants users a non-exclusive, non-transferable, revocable license to use the Services for internal business purposes.

Sublicensing: Account administrators are permitted to add up to 5 users per account, with options to add more users at an additional cost.

Users may not reverse engineer, disassemble, or redistribute the software without explicit permission from TurnKey AI​(OpenAI).

9. Intellectual Property Rights

TurnKey AI retains ownership of all proprietary rights to the Services, software, trademarks, and logos. Users do not need explicit permission to use these in their business operations, but they cannot redistribute them.

User-Generated Content: Users retain rights to any AI-generated content created through TurnKey AI.

10. Payment and Refund Policies

No Refunds: TurnKey AI does not offer refunds for unused portions of subscriptions or for any payments made.

No Late Fees: There are no late fees or reactivation fees for failed payments.

Dispute Resolution: Users must contact us within 30 days to dispute any invoices​(OpenAI).

11. Warranties and Limitation of Liability

TurnKey AI provides the Services on an “as is” basis. We disclaim all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement​(OpenAI).

Limitation of Liability: TurnKey AI limits liability for any direct or indirect damages arising from the use of the Services, particularly from third-party integrations such as OpenAI, Twilio, or Google Workspace. We are not liable for any incidental or consequential damages, including data loss​(OpenAI).

12. Termination of Services

TurnKey AI reserves the right to terminate user accounts for any violation of these Terms. Upon termination, all data will be immediately deleted, and users will lose access to the Services​(OpenAI).

Users may voluntarily terminate their accounts at any time by notifying TurnKey AI or through account settings.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the state of Minnesota, without regard to its conflict of law principles.

14. Dispute Resolution and Arbitration

Disputes related to the use of OpenAI, Twilio, or other third-party services are subject to arbitration, as required by those vendors. Users agree to binding arbitration and waive any rights to participate in class actions​(OpenAI).
